Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Maya Coffee Company LLC ("Company," "we," "us," or "our"), governing your access to and use of the Maiz loyalty and rewards platform, including loyalty passes, gift cards, AI voice ordering, and all related services (collectively, the "Service"). By joining a loyalty program, claiming a pass, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Definitions

  • "Member" means any individual who has enrolled in a loyalty program through Maiz.
  • "Merchant" means the participating business (e.g., a café or restaurant) whose loyalty program you have joined.
  • "Pass" means a digital loyalty card delivered via Apple Wallet or similar digital wallet.
  • "Points" means the rewards currency credited to your account under a Merchant's loyalty program.
  • "Voice Service" means any AI-powered telephone ordering or personalization feature made available by a Merchant through the Service.

3. Eligibility

You must be at least 13 years of age to use the Service. By using the Service, you represent and warrant that you meet this requirement and that all information you provide is accurate and complete. If you are between 13 and 18 years of age, you represent that a parent or legal guardian has reviewed and agreed to these Terms on your behalf.

4. Loyalty Program

Your loyalty account and Pass are issued by the Merchant and administered by Maiz on the Merchant's behalf. Points are earned and redeemed solely in accordance with the Merchant's program rules, which the Merchant may modify at any time with reasonable notice.

Points have no cash value, are non-transferable, and may not be combined across separate Merchant programs. Points expire after 12 months of account inactivity unless the applicable Merchant's program specifies otherwise.

We reserve the right to suspend or terminate your loyalty account if we detect fraud, abuse, or violation of these Terms. Suspected fraud may be reported to law enforcement.

5. SMS Communications

By enrolling in a Merchant's loyalty program through Maiz, you expressly consent to receive recurring automated SMS text messages from the Merchant at the phone number you provide, including messages about your loyalty account, points balance, rewards, promotions, and program updates. Consent is not a condition of purchase. Message frequency varies. Message and data rates may apply.

To opt out, reply STOP to any message. You will receive a single confirmation and no further messages, except as required by law. Opting out of SMS does not delete your loyalty account. For help, reply HELP to any message or contact dev@aulki.com.

Supported carriers include AT&T, T-Mobile, Verizon, and others. Carriers are not liable for delayed or undelivered messages.

6. Gift Cards

Gift cards issued through Maiz are redeemable only at the issuing Merchant. Gift card balances do not expire and are not subject to dormancy or service fees unless required by applicable law. Lost or stolen gift cards cannot be replaced without proof of purchase.

Gift card balances are not redeemable for cash except where required by law (e.g., California Civil Code § 1749.5). Gift cards are not reloadable. We are not responsible for gift cards that are used without your authorization.

7. Loyalty-Based Voice Ordering and AI Personalization

Merchants may offer AI-powered telephone ordering ("Voice Service") through the Maiz platform. If you are a Member and call a Merchant to place an order, we may use your loyalty membership to recognize you and personalize your experience. Your phone number is used only for membership lookup at the start of a call and is not retained after that lookup is complete.

We may associate ordering preferences and vocabulary patterns (e.g., shorthand terms you use for menu items, your typical order) with your loyalty account to reduce friction on future calls. This data is used solely to improve your ordering experience at that Merchant. It is never sold, shared with advertising networks, or used to build advertising profiles.

Voice calls may be processed or transcribed by AI systems to fulfill your order. Call interactions are not stored beyond what is necessary to complete your order and update your loyalty preferences, unless you are notified otherwise at the time of the call. You may request deletion of voice personalization data at any time. See our Privacy Policy for details.

The Voice Service is provided as a convenience. AI outputs — including order confirmations — are not guaranteed to be error-free. You should verify your order before finalizing. We are not liable for order errors resulting from unclear, ambiguous, or misheard instructions.

8. Intellectual Property

All content, trademarks, logos, and software comprising the Service are the property of Maya Coffee Company LLC or its licensors and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service solely for your personal, non-commercial use. You may not reproduce, modify, distribute, or create derivative works without our express written consent.

9. Prohibited Conduct

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation
  • Attempt to gain unauthorized access to any portion of the Service or its infrastructure
  • Engage in fraudulent activity, including earning Points through fraudulent transactions
  • Reverse-engineer, decompile, or disassemble any portion of the Service
  • Use automated tools, bots, or scripts to interact with the Service
  • Sell, transfer, or assign your loyalty account, Points, or Pass to any other person
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. AI-GENERATED CONTENT, INCLUDING VOICE ORDER RESPONSES, IS PROVIDED FOR CONVENIENCE ONLY AND MAY CONTAIN ERRORS.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MAYA COFFEE COMPANY LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL — ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $50.00. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

12. Indemnification

You agree to indemnify, defend, and hold harmless Maya Coffee Company LLC and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Dispute Resolution and Binding Arbitration

Informal Resolution. Before initiating any formal dispute, you agree to contact us at dev@aulki.com and give us 30 days to attempt to resolve the dispute informally.

Binding Arbitration. If we cannot resolve the dispute informally, you and we agree to resolve any claim, dispute, or controversy — except claims for injunctive or other equitable relief — through binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, rather than in court. Arbitration will take place in Lake County, Indiana, or by telephone or video at your election. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver. YOU AND WE EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE ACTION. All claims must be brought in an individual capacity. This waiver is a material inducement for both parties to enter into this agreement.

Small Claims. Either party may bring an individual claim in small claims court in Lake County, Indiana if the claim qualifies.

14. Governing Law

These Terms are governed by the laws of the State of Indiana, without regard to its conflict-of-law principles. Subject to the arbitration clause above, you consent to the exclusive jurisdiction of the state and federal courts located in Lake County, Indiana for any claims not subject to arbitration.

15. Severability and Entire Agreement

If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force. These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements.

16. Changes to These Terms

We may update these Terms at any time. We will notify you of material changes by posting the updated Terms at this URL and, where feasible, via SMS. The "Effective date" at the top of this page reflects the date of the most recent revision. Continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.
